Terms of Service

1. Scope

These Terms of Service govern your use of sharey, a service provided by TNT Ventures GmbH, Venloer Str. 240, 50823 Köln, Germany (“we”, “us”, “our”).

Our services are intended exclusively for commercial, corporate, or professional users (entrepreneurs within the meaning of Section 14 of the German Civil Code – BGB). We do not contract with consumers within the meaning of Section 13 BGB. By registering, you confirm that you are using sharey in your commercial or professional capacity. The application of Section 312g Paragraph 1 Sentence 1 Numbers 1 to 3 BGB (statutory electronic commerce information duties) is excluded.

2. Account Registration

To use sharey, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

3. Service Description

sharey is an AI-powered social media management platform that allows you to generate, schedule, and publish content across social media channels.

4. Fees and Payment

The use of sharey may be subject to a fee. Current pricing, subscription models, and payment terms are specified on our website or in a separate order form. Unless explicitly stated otherwise, all fees are net of applicable value-added tax (VAT). Payments are due according to the agreed billing cycle.

5. User Obligations

You agree to:

  • Provide accurate registration information
  • Use the service in compliance with applicable laws
  • Not misuse the service for spam, harassment, or illegal content
  • Respect the intellectual property rights of others

6. Content Ownership & Data Protection

You retain all rights to content you create or upload. By using sharey, you grant us a limited license to process your content as necessary to provide the service.

To the extent we process personal data on your behalf as a data processor under the General Data Protection Regulation (GDPR), the parties shall enter into a separate Data Processing Agreement (DPA / Auftragsverarbeitungsvertrag), which forms an integral part of these Terms of Service. 7. AI-Generated Content

Content suggestions generated by AI are provided as-is. You are responsible for reviewing and approving all content before publication. We do not guarantee the accuracy, originality, suitability, or that AI-generated content does not infringe the intellectual property rights of third parties. You are solely responsible for checking that all content (including AI-generated texts, suggestions, or images) complies with copyright, trademark, and competition laws before publishing it. To the extent required by applicable law (such as the EU AI Act), you agree to label AI-generated content appropriately.

8. Availability & Third-Party Platforms

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance and unexpected outages may occur. Furthermore, the functionality of sharey depends on the availability and interfaces (APIs) of third-party platforms (e.g., Instagram, Meta). We are not responsible or liable for any changes, limitations, or outages on these third-party platforms. You agree to comply with the terms of service and community guidelines of the respective social media networks you connect to sharey.

9. Limitation of Liability

We are liable without limitation for damages caused by intent or gross negligence, for injury to life, body, or health, and under the German Product Liability Act (Produkthaftungsgesetz). In cases of slight negligence, we are only liable for the breach of an essential contractual obligation (Kardinalpflicht – an obligation necessary for the proper execution of the contract and upon which you may reasonably rely). In such cases of slight negligence, our liability is limited to the typical, foreseeable damage at the time the contract was concluded. Any further liability is excluded.

Our strict liability without fault for pre-existing defects (verschuldensunabhängige Haftung für anfängliche Mängel) pursuant to Section 536a Paragraph 1 Alternative 1 of the German Civil Code (BGB) is explicitly excluded.

10. Termination

Either party may terminate the agreement at any time. Upon termination, your access to sharey will be revoked and your data will be deleted in accordance with our Privacy Policy.

11. Governing Law

These terms are governed by the laws of the Federal Republic of Germany. The courts of Cologne (Köln) shall have exclusive jurisdiction.

12. Changes to These Terms

We reserve the right to modify these terms. Material changes will be communicated via email or through the service at least 30 days before taking effect.
